William J. Browning, CELA, Trustee
All Employment Retirement Income Security Act (ERISA) pension plans are
administered by a Trustee, who works with an investment committee to ensure
investments that meet the purposes of pension activities. The Trustee is
Willing J. Browning, CELA, an attorney at law. Mr. Browning has worked
with ERISA attorneys to perfect a pension plan that meets the objectives of both
the employer and the employee.
Mr. Browning meets with the third party administrator and provides oversight of
the pension for purposes of ERISA compliance on an annual basis. He also
meets with the investment advisor, A.G. Edwards, to ensure the investment
portfolio meets the employer and employee requirements. All employees are
provided with an annual report on the investment and activities of the pension

Diane McCance of Pension Designs and Administration serves as the third
party administrator, which provides the Trustee with ERISA oversight compliance
advice. She also provides Mr. Browning with individual participation
account oversight for Department of Labor compliance and Internal Revenue
compliance.

A.G. Edwards currently serves as the Investment Advisor for the Santa Maria
